I created a new cert in IIS 5.0 for a IIS 4.0 box and when i try and import
it i get an error CAPI2 error. Any help would be appriciated... It looks like
the cert needs to be recoded to a base64code, but dont know how to do that.

Please post the entire error that you are getting. The certificate would
have to be base64 and not DER encoded. The only way to correct this, is
to create a new certificate, and choose the option for base64.
